Udi Foundry

Last updated: 22 October 2026

This is an agreement between you, the license owner, and Udi Foundry. By downloading, installing and/or using the Font Software, you are acknowledging that you have read, understand, and agree to be bound by the terms of this End User License Agreement (the “EULA”). This EULA is between you and Udi Foundry (the “Licensor”). If you have any questions relating to your rights to use the Font Software or would like to obtain an addendum to permit any use not included here, please contact: hello@udifoundry.com

1. Definitions

“EULA” means End User License Agreement.

“Font Software” refers to the typeface and all associated files provided upon purchase.

“End User” refers to the individual or entity that purchases a license to, or otherwise downloads or uses, the Font Software, including any trial or evaluation version.

“Licensor” is Udi Foundry, the creator and owner of the Font Software.

2. Licensing

2.1 License Grant

Upon receipt of the applicable payment, Udi Foundry grants the End User a non-exclusive, non-sublicensable, non-transferable right to use the Font Software according to the license type purchased.

2.2 License Types

Udi Foundry grants the End User one or more of the following licences or licence extensions based on the End User’s choice:

2.2.1 Desktop License

  • The Desktop License permits the installation of the Font Software for the number of users selected at the time of purchase, on computers (macOS or Windows) owned by the End User. Each licensed user may install the Font Software on the computers they personally use for the licensed work.
  • The Font may be used in desktop publishing software to create documents, static images, and print files.
  • The Font Software is provided in OTF and TTF formats for desktop use.
  • The Desktop License is perpetual: it does not expire and requires no renewal.

2.2.2 Web License

  • The Web License permits the embedding of the Font Software via @font-face technology or similar methods into a single website associated with a specified domain owned by the End User. The domain and its subdomains, together with their staging and development environments, count as that one website.
  • The license is subject to a monthly page view limit, as explicitly stated at the time of purchase. If usage regularly exceeds that limit, the End User should contact the Licensor to move to a higher tier; the font keeps working in the meantime.
  • The Web License is granted for a one-year term from the date of purchase and may be renewed annually. If it is not renewed, the right to use the Font Software on the web lapses on expiry.
  • The Font Software for web use is provided in WOFF and WOFF2 formats.

2.2.3 App License

  • The app license permits embedding the Font Software into mobile applications, desktop software, or video games.
  • The license is valid for a specified number of app installations or active users, as stated at the time of purchase.
  • The App License is granted for a one-year term from the date of purchase and may be renewed annually. If it is not renewed, the right to embed the Font Software in new or updated releases lapses on expiry.
  • The Font Software must be embedded securely to prevent unauthorized extraction or redistribution.

2.2.4 Other Forms of Licensing

To use the fonts in an area or scope that is not covered by one of the licenses described in this document, one is invited to contact the Licensor to request an appropriate license. Areas or scopes of use that need other forms of licensing are for example:

  • Logo/Wordmark
  • E-Book
  • Broadcasting (television, cinema, subscriptional or transactional video on demand, live streaming, and similar)
  • Large print runs (1,000+ copies, including packaging, books, or merch)
  • Trademark registration
  • Unlimited and/or exclusive use

2.3 Licensing on Behalf of a Client

A license may be purchased by one party (for example, a designer, studio, or agency) for use by another (the “Client”). Where “Client” is selected at the time of purchase, the license is held by the named Client, and the purchaser may use the Font Software solely to create deliverables for that Client. The purchaser acquires no independent right to use the Font Software for other clients, projects, or purposes, and must obtain a separate license for any such use. The purchaser may keep the Font Software installed to revise and maintain that Client’s deliverables while the license lasts. Each Client the End User works with must be covered by their own license.

2.4 Trial Fonts

Any trial, evaluation, or free version of the Font Software is provided solely for evaluating and experimenting with the typeface and pitching concepts — for example in sketches, mockups and presentations. Trial fonts include the full character set and OpenType features of the corresponding retail fonts but may not be used in any final deliverable, published, or production work, and remain subject to all restrictions in this agreement. A full license must be purchased for any use beyond evaluation.

3. Restrictions

  1. The End User may not:

    • Share, distribute, sublicense, resell, or make the Font Software or any derivative versions available to third parties.
    • Modify, adapt, decompile, or reverse-engineer the Font Software.
    • Remove or alter any trademark, copyright, or other proprietary notices.
    • Embed the Font Software in software, apps, or hardware products where it can be accessed by third parties without purchasing an extended license from the Licensor.
  2. The Font Software may not be used in:

    • Any unlawful or defamatory material.
    • Platforms that allow users to generate dynamic text using the font (e.g., templates, apps, iron-on lettering product, or print-on-demand service), or as a part of NFTs (non-fungible tokens) without explicit permission from the Licensor.
  3. Notwithstanding the foregoing, the End User may:

    • Subset the Font Software or convert it between formats solely to optimise performance or delivery, provided the outlines and design are not otherwise altered.
    • Embed the Font Software in electronic documents (such as PDFs) in a preview- and print-locked form that does not permit its extraction or editing.
    • Share the Font Software with employees or a contractor (e.g. a printer or developer) to carry out licensed work, provided they don’t keep or redistribute it afterward.

4. Ownership

The Font Software remains the intellectual property of Udi Foundry. The Licensor reserves and retains the entire right, title and interest in and to the Font Software, including all copyrights, trademarks and other intellectual property rights. Purchasing a license grants usage rights, not ownership of the Font Software. Nothing here transfers ownership of the Font Software or the intellectual property in the typeface beyond the rights this license grants. Work the End User creates with it — logos, artwork, documents — remains theirs.

5. Warranties and Liabilities

  1. The Font Software is provided “as is,” without warranties of any kind, express or implied, except as stated in this section or required by law.
  2. As the End User’s sole remedy, the Licensor will replace files that are corrupt, defective, or incorrect if reported within a reasonable period after delivery.
  3. To the fullest extent permitted by law, the Licensor is not liable for indirect, incidental, special, or consequential damages, or for loss of profit, data, or goodwill, arising from the use of or inability to use the Font Software.
  4. The Licensor’s total liability under this agreement will not exceed the amount the End User paid for the Font Software.
  5. Nothing in this agreement excludes or limits liability that cannot be excluded or limited by law — including liability for death or personal injury caused by negligence, for fraud, or for a consumer’s non-waivable statutory rights.

6. Termination

A license is effective from the date of purchase. A Desktop License is perpetual and remains valid until terminated. A Web or App License is granted for a one-year term and remains valid only while it is renewed; it expires at the end of its term if not renewed. The Licensor may terminate a license for breach of this agreement; where a breach can be fixed, it will give notice and a reasonable chance to fix it first. On termination or expiry, the End User must stop using the Font Software and delete all copies. Work already produced and delivered under the license is unaffected.

7. Payment and Refunds

Because the Font Software is delivered as digital files, purchases are generally non-refundable once the files have been delivered, except where a refund, replacement, or other remedy is required by applicable law or is offered by the Licensor. If you receive incorrect or faulty files, or are charged in error, contact hello@udifoundry.com.

8. General

  1. This EULA constitutes the entire agreement between the Licensor and the End User regarding the Font Software.
  2. This agreement is governed by the laws of the Federal Republic of Nigeria, subject to any mandatory legal protections that apply to the End User.
  3. This license may be updated occasionally to include relevant new and future media usage applications. However, nothing in this agreement shall be construed to obligate the Licensor to provide upgrades or updates of the Font Software to the End User under any circumstances. Any upgrades or updates, if offered, may be subject to additional terms, conditions, and fees.
  4. Each purchase is governed by the version of this agreement in effect at the time of that purchase. New versions apply to later purchases and license extensions, not retroactively to licenses already granted.
  5. If any provision of this agreement is found to be invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  6. Notices under this agreement may be sent by email — to the End User at the address used to purchase, and to the Licensor at hello@udifoundry.com.
